Licensee agrees to pay Licensor a recurring annual license fee for the use of the
INSPIRE Method™ trademark and methodology. The current license fee is
$1997 USD PIF Or 3 installments of $733 USD, payable on or before the anniversary of the Effective Date for each Renewal Term (2 years). Licensor reserves the right to
adjust the annual license fee upon 90 days' written notice to Licensee prior to the
commencement of any Renewal Term.

4. Scope of Use & Restrictions
Licensee agrees to the following restrictions and obligations regarding the use of the
INSPIRE Method™:
● Adherence to Methodology: Licensee shall use the INSPIRE Method™ strictly as
taught and defined by Licensor in the official training materials. Licensee shall not
modify, adapt, or alter the core methodology of the INSPIRE Method™ without the
express prior written consent of Licensor.
● Non-Clinical Scope: Licensee explicitly acknowledges and agrees that the
INSPIRE Method™ is a personal development and embodiment modality and is
NOT a medical, psychological, psychiatric, or therapeutic service. Licensee shall
NOT use the INSPIRE Method™ to diagnose, treat, cure, or prevent any medical
condition, mental health condition, disease, or illness.
● Referral Policy: Licensee shall strictly adhere to the "Facilitator Responsibilities &
Referral Policy" outlined in Section 1.5 of the main Participant Agreement, ensuring
appropriate referrals to licensed healthcare professionals when a client's needs
extend beyond the scope of the INSPIRE Method™.
● No Sub-licensing: Licensee shall not sub-license, assign, transfer, or otherwise
permit any third party to use the INSPIRE Method™ or its associated trademark.
● No Training: Licensee is strictly prohibited from training others to become
INSPIRE Method™ Facilitators or from creating any training programs based on the
INSPIRE Method™ methodology.
● Compliance with Law: Licensee shall comply with all applicable local, state, and
federal laws and regulations in the delivery of their services using the INSPIRE
Method™.
● Branding Guidelines: Licensee agrees to adhere to any branding or usage guidelines provided by Licensor regarding the proper display and use of the
"INSPIRE Method™"; trademark.

5. Trademark Usage Guidelines
Licensee is granted a limited right to use the "INSPIRE Method™" trademark solely in
connection with the facilitation of the method to their clients. Licensee agrees to:
● Always use the "INSPIRE Method™" trademark with the appropriate ™ symbol.
● Clearly state that they are a "Certified INSPIRE Method™ Facilitator" and that the
"INSPIRE Method™" is a trademark of Inspire Corporation.
● Not use the trademark in any way that suggests ownership by Licensee, or that
could dilute, disparage, or tarnish the reputation of the INSPIRE Method™ or
Inspire Corporation.
● Not register or attempt to register any trademark or domain name that is
confusingly similar to "INSPIRE Method™."

6. Continuing Education & Re-certification
To maintain certification and renew this License Agreement, Licensee must complete
annual re-certification requirements as prescribed by Licensor. These requirements may
include, but are not limited to, completion of continuing education modules, participation
in designated workshops, or passing a re-certification assessment. Licensor will provide
details of the annual re-certification requirements at least 60 days prior to the end of
each term.

7. Termination of License
This License Agreement may be terminated by Licensor immediately upon written
notice to Licensee if:
● Licensee breaches any material term of this License Agreement or the main
Participant Agreement.
● Licensee fails to pay the recurring annual license fee when due.
● Licensee fails to complete the annual re-certification requirements.
● Licensee engages in any conduct that, in the sole discretion of Licensor, is
detrimental to the reputation or integrity of the INSPIRE Method™ or Inspire
Corporation.
● Licensee misrepresents their qualifications or the scope of services provided using
the INSPIRE Method™.

Upon termination, Licensee shall immediately cease all use of the "INSPIRE Method™"
trademark and methodology, remove all references to being a "Certified INSPIRE
Method™ Facilitator" from all marketing materials, websites, and social media, and
destroy any materials containing the INSPIRE Method™ intellectual property.
Termination of this License Agreement does not relieve Licensee of any obligations incurred prior to termination.

8. Indemnification
Licensee agrees to indemnify, defend, and hold harmless Licensor, its affiliates, officers,
directors, employees, and agents from and against any and all claims, liabilities,
damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out
of or in connection with Licensee's use of the INSPIRE Method™ or trademark,
Licensee's breach of this License Agreement, or Licensee's provision of services to their
clients.

9. No Warranty
The INSPIRE Method™ and all associated materials are provided "as is" without
warranty of any kind, express or implied. Licensor makes no guarantees regarding the
success or outcomes of Licensee's use of the INSPIRE Method™.

10. Severability
If any provision of this License Agreement is found to be unenforceable or invalid, that
provision will be limited or eliminated to the minimum extent necessary so that this
License Agreement will otherwise remain in full force and effect and enforceable.

BY PROCEEDING WITH CERTIFICATION AND PAYING THE ANNUAL LICENSE
FEE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE
TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS CERTIFICATION AND
LIMITED LICENSE AGREEMENT.
